Chrysler Group LLC Reports September 2013 U.S. Sales Increased Slightly; Best September Sales Since 2007 42nd-consecutive month of year-over-year sales gains Chrysler, Dodge and Ram Truck brands each post sales increases in September compared with same month a year ago Four Chrysler Group vehicles set sales records in September Jeep Grand Cherokee sales up 19 percent; best September sales in 10 years Dodge Durango sales up 66 percent; largest percentage sales increase of any Chrysler Group vehicles October 1, 2013 , Auburn Hills, Mich. - Chrysler Group LLC today reported U.S. sales of 143,017 units, a 1 percent increase compared with sales in September 2012 (142,041 units), and the group’s best September sales since 2007. The Chrysler, Dodge and Ram Truck brands each posted year-over-year sales gains in September compared with the same month a year ago. The Ram Truck brand’s 8 percent increase was the largest sales gain of any Chrysler Group brand during the month. Chrysler Group extended its streak of year-over-year sales gains to 42-consecutive months in September. “Even though industry sales dipped during September, Chrysler Group still managed to eke out a slight sales increase for the month,” said Reid Bigland, Head of U.S. Sales. “Our dealers had two less selling days in September compared with a year ago, but they still outperformed the industry and extended our sales streak to 42-consecutive months of year-over-year sales gains.” Chrysler Group had four models that set sales records in September. The Jeep® Compass and Jeep Patriot each set a sales record for the month of September, as did the Dodge Dart compact sedan and the Dodge Challenger. Sales of the Dodge Durango full-size SUV were up 66 percent, the largest percentage sales gain by any Chrysler Group vehicle in September. Chrysler Group finished the month with a 62-days supply of inventory (187,153 units). U.S. industry sales figures for September are projected at an estimated 15.7 million units Seasonally Adjusted Annual Rate (SAAR). September 2013 U.S. Sales Highlights by Brand Ram Truck Brand Ram Truck brand sales were up 8 percent in September, the brand’s 26th-consecutive month of year-over-year sales gains. It was the brand’s best September sales since 2007 and the largest percentage sales gain of any Chrysler Group brand in the month. Sales of the Ram pickup truck were up 8 percent, its 41st-consecutive month of year-over-year sales gains and its best September sales since 2007. The first of the all-new 2014 Ram ProMaster vans began rolling into Ram Truck dealerships across the country in September. The ProMaster lineup offers a list of key best-in-class features including fuel economy, cargo capacity and total cost of ownership. The new 2014 Ram Heavy Duty pickups, with best-in-class towing and best-in-class Gross Combined Weight Rating (GCWR), begin arriving in dealerships this month. Dodge Brand Dodge brand sales were up 3 percent in September, the brand’s best September sales since 2005 and its 28th-consecutive month of year-over-year sales gains. The Dodge Challenger and Dodge Dart compact sedan each recorded their best sales for the month of September. It was the Dart’s fourth straight month of year-over-year sales gains. Sales of the Dodge Durango full-size SUV were up 66 percent, the largest percentage sales gain by any Chrysler Group vehicle in September, and its 11th-consecutive month of year-over-year sales gains. Sales of the Dodge Charger were up 49 percent, its best September sales in three years. Chrysler Group is celebrating its 30 years of minivan leadership this fall with special 30th-anniversary editions of the Dodge Grand Caravan and the Chrysler Town & Country minivans. The 2014 Dodge Grand Caravan 30th Anniversary Edition will be available on both the SE and SXT models, and will continue to set the mark in minivan value. Chrysler Brand Chrysler brand sales were up 2 percent in September, its best September sales since 2007. Sales of the award-winning Chrysler Town & Country minivan were up 4 percent, its best September sales since 2006. Chrysler Group is celebrating the 30th anniversary of the minivan as one of the leading innovators in the segment created back in late 1983. New for 2014 is the Chrysler Town & Country 30th Anniversary Edition which features unique exterior and interior trim in addition to its already extensive list of standard equipment. The first luxury minivan, the Town & Country debuted in 1989. Sales of the flagship Chrysler 300 full-size sedan were up 6 percent, its best September sales performance in six years. Jeep® Brand Two of the four Jeep brand models set sales records in September. The Jeep Patriot and Jeep Compass each registered their best ever September sales. The Compass, with its 27 percent sales increase, had the largest percentage sales gain of any Jeep brand model. Sales of the Jeep Grand Cherokee were up 19 percent, its best September sales in 10 years. Jeep brand sales were down 5 percent in September compared with the same month a year ago. The Jeep brand announced in September that it will offer a 2014 Wrangler Dragon Edition this fall, built from the popular concept first seen at the 2012 Beijing International Automotive Exposition. Based on the Jeep Wrangler Sahara, the Dragon Edition has numerous unique exterior and interior styling cues consumers will appreciate. Available only in black and as a four-door Unlimited model, the Wrangler Dragon Edition features Bronze Satin Gloss trim inside and out. FIAT Brand FIAT brand sales were down 24 percent in September, compared with the same month a year ago. But 2013 has been a good year for the FIAT brand in the United States. The brand added the larger Fiat 500L and the Fiat 500e all-electric models to its product lineup, and until September, the brand realized 18-consecutive months of year-over-year sales growth.

This comes as a result of Chrysler/Fiat CEO Sergio Marchionne and the UAW's Retiree Medical Benefits Trust (AKA the VEBA trust) not coming to an agreement concerning the 41.5 percent stake of Chrysler the trust holds. Chrysler hasn't announced the amount of shares nor the price in their IPO documents, but it did set a maximum proposed offering price of $100 million. J.P. Morgan is the the investment bank for Chrysler's IPO. The shares will come from the VEBA trust. Why is Chrysler doing an IPO? Fiat and the UAW have been arguing over how much those shares are worth and have taken this court for a judge to decide. By doing an IPO, this allows the two parties to possibly see how much those remaining shares are worth. This move presents risk for both parties. Fiat and Chrysler have the most to lose in the IPO. The IPO complicates Sergio Marchionne's plan to merge the two companies. “Completion of this offering will prevent or delay Fiat from meeting this objective. Fiat has informed us that it is reconsidering the benefits and costs of further expanding its relationship with us and the terms on which Fiat would continue the sharing of technology, vehicle architectures and platforms, distribution networks, production facilities and engineering and management resources,” said Chrysler in its filling. If Fiat really wants Chrysler badly, they could boost their offer for the remaining shares. Also, Fiat and Chrysler are on the hook for IPO. The money made from selling the shares would go to VEBA. The UAW also has a big risk. If the share prices are much lower than UAW expects, Fiat could go low on their offer. “Chrysler’s IPO is being motivated by the need of the UAW health care trust to cash in on the company’s gains over the past several years to shore up their own cash reserves. This goes against Fiat’s desire for a 100-percent ownership stake in Chrysler, and in the end, may only serve as a negotiating tactic,” said Kelley Blue Book analyst Alec Gutierrez in a statement. Marchionne says the IPO could come as early as the end of November, but the end of the year is not generally seen as a good time to take a company public. VM Motori currently supplies engines for the Jeep Grand Cherokee and Ram 1500 EcoDiesel. "GM's notification to exercise its put option to sell to Fiat its 50 percent interest in VM Motori SpA is in line with the contracts Fiat entered into when it acquired a 50 percent stake in VM in 2010," said Fiat in a statement. Fiat expects to have full control of VM Motori by the end of this year. No word on what the future holds for GM products with engines from VM Motori. He said this at the 2013 CAR Management Briefing’s Advanced Powertrain Forum this week. Lee explained that consumers aren't willing to pony up the money to cost of battery packs, electric motors and chargers that hybrids and electric vehicles are saddle with. He said that it might take up to ten years before consumers are willing to pay for the tech. "Many customers want to reduce C02, but they aren't willing to change their lifestyle or pay the cost -- yet," said Lee. In the meantime, Chrysler will focus on developing more diesel and turbocharged engines to help improve fuel economy. The Chrysler, Jeep®, Dodge, Ram Truck and FIAT brands each posted year-over-year sales gains in August compared with the same month a year ago. The Ram Truck brand’s 29 percent increase was the largest sales gain of any Chrysler Group brand during the month. Chrysler Group extended its streak of year-over-year sales gains to 41-consecutive months in August. “Last month we achieved our strongest retail sales in the past 60 months,” said Reid Bigland, Head of U.S. Sales. “All aspects of our business continue to improve as evidenced by our streak of 41-consecutive months of year-over-year sales gains.” Chrysler Group had six models that set sales records in August. The Dodge Journey mid-size crossover, with its 12 percent increase, had its best sales month ever. August 2013 U.S. Sales Highlights by Brand Ram Truck Brand Ram Truck brand sales were up 29 percent, the brand’s best August sales since 2007. August was the sixth-consecutive month in which the Ram Truck brand registered the largest percentage year-over-year sales gain of any Chrysler Group brand. Sales of the Ram pickup truck were up 31 percent, its 40th-consecutive month of year-over-year sales gains and its best August sales since 2006. Sales of the Light Duty Ram pickup were up 34 percent in August, driven by a sharp increase in Crew Cab pickups, while Heavy Duty Ram sales increased 26 percent. The Ram Truck brand was named the “Most Ideal Popular Brand” in AutoPacific’s 2013 Ideal Vehicle Awards in August. The Ideal Vehicle Awards are based on responses to AutoPacific’s New Vehicle Satisfaction Survey. AutoPacific asked owners to indicate a desire to change their vehicle in 15 different categories, ranging from power and acceleration to safety features and storage, after having owned and driven their vehicle for 90 days. All Jeep brand models in production recorded sales gains in August compared with the same month a year ago. The Jeep Wrangler, Jeep Compass, and Jeep Patriot each recorded their best sales ever for the month of August. Sales of the Patriot were up 42 percent, the largest percentage increase of any Jeep brand model for the month. Sales of the Jeep Grand Cherokee were up 40 percent, its best August sales since 2003. It also was the Grand Cherokee’s best sales month so far this year. The Grand Cherokee was named “Most Ideal Mid-Size SUV” in August for the third-consecutive year in AutoPacific’s 2013 Ideal Vehicle Awards. Chrysler Brand Chrysler brand sales were up 2 percent in August led by the Chrysler 300 full-size sedan’s 27 percent year-over-year sales gain. It was the 300’s best August sales since 2007 and best sales month so far this year. FIAT Brand The FIAT brand recorded its best sales month since launching the Fiat 500 in 2011 and its 18th-consecutive month of year-over-year sales gains. FIAT brand sales were up 1 percent in August compared with the same month a year ago. Fiat has been in talks with a number of banks such as Bank of America Corp., Deutsche Bank AG, and Goldman Sachs Group Inc., to secure financing. Earlier reports said Fiat was seeking around $4 Billion, but that figure has risen considerably. This is most likely due to a court case in Deleware between Fiat and the UAW arguing the total price for the remaining shares. “The merger is the right choice for Marchionne and the only possible option to avoid Fiat being marginalized or bought by a competitor in the medium term. I see it as likely that they will get favorable financing by the end of the summer and then list in the U.S,” said Emanuele Vizzini, chief investment officer of Investitori Sgr in Milan. Doing that on a large scale would be masochism to the extreme,” Marchionne said. Marchionne disclosed the figure to make a point. He believes that electric vehicles won’t be enough for automakers to meet the new ambitious fuel economy regulations set for 2025 by the U.S. Government. The regulations say automakers have to reach a fleet average of 35.5 MPG by 2016 and then reach an average of 54.5 MPG by 2025. Automakers can earn government credits, which help get an automaker closer to the average, by building hybrids, plug-in hybrids and electric vehicles. Marchionne sees this as a problem since the Government is saying hybrids, plug-in hybrids and electric vehicles are the only solution to this problem. “A number of governments around the world including the U.S. have provided incentives for consumers to purchase plug-in electric vehicles and have provided direct incentives to manufacturers.My fear is that regulators are rushing precipitously into embracing electric vehicles as the only technological solution,” Marchionne said.
