    Fiat-Chrysler Becomes Fiat Chrysler Automobiles


    • Fiat and Chrysler Announce a New Name


    Today, Fiat SpA's board of directors announced Fiat SpA and Chrysler Group LLC will become Fiat Chrysler Automobiles (FCA). This comes as part of restructuring plan of the two automakers that was agreed by the board.

    “A new chapter of our story begins with the creation of Fiat Chrysler Automobiles. A journey that started over a decade ago, as Fiat sought to ensure its place in an increasingly complex marketplace, has brought together two organizations each with a great history in the automotive industry and different but complementary geographic strengths,” said John Elkann, chairman of Fiat.

    The restructuring plan also notes that FCA will be listed on the Milan and New York Stock Exchange, and will be controlled by a parent company known as Fiat Chrysler Automobiles N.V. That company will be incorporated in Holland.

    “Five years ago we began to cultivate a vision that went beyond industrial cooperation to include full cultural integration at all levels. We have worked tenaciously and single-mindedly to transform differences into strengths and break down barriers of nationalistic or cultural resistance,” Fiat and Chrysler CEO Sergio Marchionne said today.

    “Today we can say that we have succeeded in creating solid foundations for a global automaker with a mix of experience and know-how on a level with the best of our competitors. An international governance structure and listings will complete this vision and improve the Group’s access to global markets bringing obvious financial benefits.”

    The plan still needs to get final approval from the board and shareholders which is expected to happen by the end of this year

    Fiat S.p.A. Reorganizes After Completion of the Purchase of Chrysler Group LLC

    January 29, 2014 , Turin, Italy - Today, the Board of Directors of Fiat S.p.A. (“Fiat”) approved a corporate reorganization and the formation of Fiat Chrysler Automobiles (“FCA”) as a fully-integrated global automaker.

    Following Fiat’s acquisition of the minority equity interest in Chrysler Group LLC, previously held by the VEBA Trust, the Fiat Board of Directors has reviewed options for the most appropriate governance and corporate structure.

    In order to establish a true peer to the major global automotive groups, in both scale and capital market appeal, the Board has decided to establish Fiat Chrysler Automobiles N.V., organized in the Netherlands, as the parent company of the Group. FCA’s common shares will be listed in New York and Milan.

    Under the proposal approved by the Fiat Board, Fiat shareholders will receive one FCA common share for each Fiat share they hold and the FCA common shares will be listed on the New York Stock Exchange (NYSE) with an additional listing on the Mercato Telematico Azionario (MTA) in Milan. FCA is expected to be resident for tax purposes in the United Kingdom, but this is not expected to affect the taxes payable by Group companies in the jurisdictions in which their activities are carried out.

    In order to foster the development and continued involvement of a core base of long-term shareholders, FCA will adopt a loyalty voting structure, under which Fiat shareholders who are present or represented by proxy at the Fiat shareholder meeting called to vote on the proposal and who continue to hold their shares until the closing, regardless of how they vote, are eligible to receive special voting shares equivalent in number to the newly-issued FCA common shares they receive. The special voting shares will be subject to specific terms and conditions.

    After the closing, shareholders who hold their FCA common shares for at least three years would also be entitled to participate in the loyalty voting structure.

    FCA shareholders will be eligible for loyalty voting until they transfer their common shares. This structure is intended to facilitate a stable shareholder base and reward long-term share ownership, while allowing the Group enhanced flexibility to pursue strategic opportunities.

    The proposed transaction is subject to approval of the final documentation by Fiat’s Board of Directors and shareholders.

    The transaction would also be subject to limited closing conditions, including listing on the NYSE and a €500 million cap on the exercise of withdrawal rights arising under Italian law by Fiat shareholders and opposition rights by Fiat creditors. Listing on the MTA in Milan is expected to occur after trading on the NYSE has commenced.

    The transaction is expected to be completed by the end of the year.

    Today’s decisions, and the jurisdiction of the parent company in particular, are based on the needs and opportunities resulting from the creation of a large, global auto group through the union of Fiat and Chrysler.

    The existing organization based on four operating regions will remain central to the operating and management structure of the new Group. All activities forming part of FCA will continue with the same mission, including manufacturing plants in Italy and elsewhere around the globe, with no impact on headcount.

    The Group will present a long-term business plan to the financial community at the beginning of May 2014.

      Statement: Occupant Restraint Controller
      September 15, 2016 , Auburn Hills, Mich. - FCA US LLC is voluntarily recalling an estimated 1.4 million vehicles in the U.S. to resolve a condition that may prevent air-bag and seat-belt pretensioner deployment capability in certain crashes.
      The condition may occur when vehicles equipped with a particular occupant restraint control module and front impact sensor wiring of a specific design, are involved in certain collisions.
      If all these factors are present, there may be an increased potential for occupant injury.
      This action was prompted by an FCA US analysis of certain field events and other vehicle data. The Company is aware of three fatalities and five injuries that may potentially be related to this condition.
      FCA US no longer uses the occupant restraint controllers or wire routing design found in the affected vehicles, which are:
      2010 Chrysler Sebring midsize car
      2011-2014 Chrysler 200 midsize cars
      2010-2012 Dodge Caliber compact car
      2010-2014 Dodge Avenger midsize cars
      2010-2014 Jeep® Patriot and Compass SUVs
      An additional 142,959 of these vehicles are subject to recall in Canada; 81,901 in Mexico, a population that includes the 2010 Chrysler Cirrus compact car; and 284,051 outside North America, which also includes the 2012-2013 Lancia Flavia midsize car.

      If you think the Fiat Chrysler Automobiles' sales probe couldn't take an unexpected turn, then you would be wrong. The Wall Street Journal reports that federal investigators are asking questions about a phrase that was used by various executives to dealers and regional sales managers.
      According to sources, executives at FCA would use the phrase “unnatural acts department” during conference calls and one-on-one conversations. This phrase was to convey to dealers and regional sales managers to get more sales before the end of the month. Such solutions included selling vehicles at a loss or asking dealers to buy a number of vehicles that would be used for test-drives with customers. Investigators are trying to figure out if the phrase was used a way to rally the troops to meet sales targets or a key piece of evidence of whether or not FCA executives deceived the public by using this phrase to tell dealers to falsify sales numbers.
      As we reported back in July, FCA is currently under investigation by the U.S. Department of Justice and Securities and Exchange Commission over their sales reporting practices. The investigation stems from dealers in Florida and Illinois suing the company for falsifying sales numbers. In the same month, FCA admitted the sales streak that supposedly lasted for 75 months only lasted for 40 months. The company also changed how it reported sales numbers.

      FCA US Reports August 2016 U.S. Sales Increased 3 Percent
      Jeep® brand posts 12 percent sales increase in August compared with same month a year ago Five Jeep brand models up in August, led by 41 percent increase in Jeep Cherokee sales Dodge brand up 5 percent; six Dodge brand vehicles log year-over-year sales gains in August Ram Truck brand up 2 percent; Ram ProMaster and Ram ProMaster City vans each post double-digit percentage sales gains September 1, 2016 , Auburn Hills, Mich. - FCA US LLC today reported U.S. sales of 196,756 units, a 3 percent increase compared with sales in August 2015 (190,887 units).
       
      FCA US retail sales were 150,153 units in August, while fleet sales were 46,603 units. Retail sales represented 76 percent of total sales, while fleet sales were 24 percent.
       
      The Jeep®, Dodge and Ram Truck brands each posted year-over-year sales gains in August, led by the Jeep brand’s 12 percent increase. Five of the six Jeep brand vehicles recorded sales increases in August, with the Jeep Cherokee turning in the largest percentage year-over-year gain.
       
      The Dodge brand delivered higher year-over-year sales as the Dodge Charger, Dodge Challenger, Dodge Journey, Dodge Grand Caravan, Dodge Durango and Dodge Viper all recorded sales gains in August, helping to propel the brand to a 5 percent increase. Likewise, the Ram Truck brand was up with the Ram ProMaster and Ram ProMaster City vans each recording year-over-year sales increases for the month.
       
      Jeep Brand
      Jeep brand sales were up 12 percent in August compared with the same month a year ago. The Jeep Cherokee – the most capable mid-size SUV – posted a 41 percent sales gain, the largest percentage increase of any Jeep brand model in August. The Jeep Grand Cherokee, Jeep Patriot and Jeep Compass all turned in double-digit percentage increases for the month.
       
      Dodge Brand
      Dodge brand sales were up 5 percent in August compared with the same month a year ago, as Dodge cars and trucks had a strong sales month. The Dodge Charger and Dodge Challenger each posted year-over-year sales gains in August. Charger sales were up 24 percent, while the Challenger turned in a 5 percent sales gain in August. Sales of the Dodge Durango full-size SUV, the Dodge Grand Caravan minivan, the Dodge Journey crossover and the Dodge Viper were all up in August as well. The Dodge brand last month used the famed Woodward Dream Cruise to debut its new 2017 Challenger T/A and Charger Daytona – two performance-upgraded models infused with heritage style. Production for both models will begin this fall with Charger Daytona models available for order in September, followed by Challenger T/A models this October.
       
      Ram Truck Brand
      Ram Truck brand sales, which include the Ram pickup, Ram ProMaster and Ram ProMaster City, were up 2 percent in August versus the same month a year ago. Both the ProMaster and ProMaster City vans turned in double-digit percentage sales gains in August, led by the ProMaster City’s 32 percent increase. The ProMaster City – America’s most efficient work van – is the newest addition to the brand’s commercial vehicle lineup and contributes to the expanding, purpose-built van segment with a number of best-in-class, functional elements tied directly to commercial customer demand. Sales of the Ram pickup truck were flat in August.
       
      FIAT Brand
      FIAT brand sales, which include the Fiat 500, Fiat 500L, Fiat 500X and Fiat 124 Spider, were down 21 percent in August. In its second month on sale, the all-new 2017 Fiat 124 Spider logged 460 sales in August. Last sold in the U.S. in 1985, the 124 Spider brings classic Italian styling and proven performance to a new generation of buyers. The all-new 124 Spider delivers the ultimate Italian roadster experience with driving excitement, technology and safety combined with iconic design.
      Chrysler Brand
      Chrysler brand sales were down 22 percent in August compared with the same month a year ago. Sales of the Chrysler 300 full-size sedan were up 22 percent compared with the same month a year ago. The all-new Chrysler Pacifica logged 7,459 in sales in August. The Pacifica reinvents the minivan segment with its unprecedented level of functionality, versatility and technology. With nearly 40 innovations not offered by any others in its class, the Pacifica is the new benchmark in the segment that Chrysler invented more than 30 years ago.
